1. Acceptance
By accessing or using any service of Ataraxia 720 S.A., including the Cliru platform, you accept these Terms of Use in their entirety. If you are acting on behalf of an organization, you represent that you have the necessary authority to bind it to these terms. Continued use of our services constitutes acceptance of the terms in effect.
2. Service Description
Ataraxia 720 S.A. develops and operates Cliru, an omnichannel inbox platform designed for medical clinics in Guatemala and Central America. The service enables managing patient communications through channels such as WhatsApp, Instagram, and Facebook Messenger from a centralized interface.
3. Permitted Use
The services are intended for medical clinics and their authorized personnel. The user agrees to:
- Use the service solely for legitimate patient communication purposes.
- Maintain the confidentiality of access credentials and immediately report any unauthorized use.
- Not transfer platform access to unauthorized third parties.
- Comply with all applicable laws in the Republic of Guatemala, including those related to personal data protection and electronic communications.
4. Prohibited Use
It is expressly prohibited to use the services for:
- Sending unsolicited, bulk, or spam communications to patients or third parties.
- Storing or transmitting illegal, defamatory content, or content that infringes third-party intellectual property rights.
- Interfering with the normal operation of the platform, its servers, or its security systems.
- Attempting to access data, accounts, or resources of other clients or users without express authorization.
5. Client Responsibility
The client clinic is responsible for the content of messages sent through the platform, the appropriate use of patient data, and compliance with all legal obligations applicable to it as a health data controller under Guatemalan law.
6. Service Availability
Ataraxia 720 S.A. will make commercially reasonable efforts to maintain continuous service availability. However, we do not guarantee uninterrupted availability. We may perform scheduled maintenance that temporarily affects access, notifying active clients with reasonable advance notice when possible.
7. Limitation of Liability
Ataraxia 720 S.A. shall not be liable for service interruptions caused by third parties (including messaging providers such as Meta), for the content of communications managed through the platform, or for indirect, incidental, or consequential damages arising from the use or inability to use the service.
8. Termination
We reserve the right to suspend or cancel access to the service in the event of a breach of these terms, with or without prior notice depending on the severity of the situation. In the event of termination, the client will have a reasonable period to export their data.
9. Modifications
We may update these Terms of Use from time to time to reflect changes in our services or applicable legislation. We will notify active clients of significant changes through established communication channels. Continued use of the service after an update constitutes acceptance of the new terms.
10. Applicable Law
These Terms of Use are governed by the laws of the Republic of Guatemala. Any dispute arising from the interpretation or enforcement of these terms shall be submitted to the jurisdiction of the competent courts of the department of Guatemala.
